1. Introduction
These Terms of Business ("Terms") govern all services provided by [The Fusion Web Studio Limited] ("We", "Us", or "Our"), an Irish web design agency, to our clients ("You" or "Client"). By engaging our services, you agree to these Terms. If you do not agree to these Terms, you should not use our services.
2. Services Provided

Specific services to be provided will be outlined in a separate proposal or contract for each project.
3. Client Responsibilities

Content Provision: You are responsible for providing all necessary content, images, and other materials required for the completion of the project unless otherwise agreed.

Approvals: You will review and approve work at various stages. Final approval is required before the website is made live.

Access: You must provide us with all necessary access credentials to hosting accounts, domain registrars, or other third-party services required for us to complete our work.
4. Project Timelines

We will provide an estimated timeline for the project. While we strive to meet these deadlines, they are subject to delays due to factors beyond our control.

Delays caused by the client, such as late content delivery or lack of communication, may extend the project timeline.
5. Fees and Payment Terms

Fees: The total project cost will be outlined in a formal proposal. All fees are subject to VAT at the applicable Irish rate.

Payment Schedule: Payments will typically be structured as follows:

50% deposit upon agreement of the project.

50% upon project completion, prior to the website launch.

Late Payments: In the event of late payment, interest may be charged at a rate of 1.5% per month on the outstanding balance. We reserve the right to suspend work or withhold delivery until full payment is received.
6. Revisions & Amendments

Our proposals typically include 3 rounds of revisions. Any additional changes requested beyond this will be billed at our standard hourly rate of €100 + VAT.

Any changes requested after the final approval may also incur additional charges.
7. Cancellation Policy

Should you wish to cancel the project after work has commenced, you will be liable for payment for any work completed up to that point.

The initial deposit is non-refundable, except in cases where we are unable to commence the project.
8. Website Maintenance & Updates

Ongoing Maintenance: If agreed, we will provide ongoing maintenance for your website under a separate maintenance agreement. Otherwise, any updates or fixes required post-launch will be charged at our standard hourly rate.

Security: While we implement industry-standard security measures, we cannot guarantee that your website will be immune from cyber-attacks or hacking attempts. You are responsible for maintaining appropriate backup and security measures.
9. Intellectual Property Rights

Upon full payment of all fees, ownership of the final design and website will be transferred to you.

We retain the right to display and showcase your project in our portfolio and promotional materials unless otherwise agreed in writing.

Any third-party components or licensed software used in the project will be subject to their own respective licensing terms.
10. Limitation of Liability

We are not liable for any loss or damage, including but not limited to business interruption, loss of profits, or data loss, arising out of the use of or inability to use your website.

Our maximum liability to you in relation to any project will be limited to the total amount paid by you for our services.
11. Termination

Either party may terminate the agreement if the other party commits a material breach of these Terms.

We may terminate the agreement at any time if you fail to make timely payments or do not fulfill your obligations as outlined in these Terms.
12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland.

Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the Irish courts.
13. Data Protection & Privacy
We take your privacy seriously. We will only use your personal data in accordance with our Privacy Policy and applicable Irish data protection laws, including the General Data Protection Regulation (GDPR).
14. Amendments to Terms
We reserve the right to amend these Terms from time to time. Any changes will be posted on our website, and it is your responsibility to review these Terms periodically.
15. Revisions and Amendments

Included Revisions: Our standard project package includes up to three rounds of minor revisions during the design and development phases. Any additional revisions beyond this will be billed at our standard hourly rate of €100 + VAT.

Minor Revisions: Minor revisions include small, non-complex changes that do not significantly alter the overall design or functionality of the website. Examples of minor revisions include:

Text changes or replacements.

Adjustments to image sizes or positions.

Minor layout tweaks, such as spacing, alignment, or font changes.

Simple colour adjustments (e.g., button colours, background colours).

Major Revisions: Major revisions involve substantial changes that impact the overall structure, design, or functionality of the website. These changes may require significant time, design, or development work and will incur additional charges. Examples of major revisions include:

Redesigning large sections of a webpage or creating new pages.

Changing the website’s core layout or navigation structure.
-
Adding new features or functionalities (e.g., forms, e-commerce capabilities, animations).
-
Responsive design adjustments across multiple devices.
Any major revisions requested will be treated as out-of-scope work and billed at our standard hourly rate of €100, with a new estimate provided prior to commencing work.
